This is the term-sheet with the lead investor (Red River West) and other investors will be investing based on these terms. All terms will be the same, however investors coming through the SPV will be subject to special voting terms, in which the SPV administrator (Mara) will be organising and aggregating on a majority basis, which is standard for SPV investing. The details of how this majority rules voting is organised can be found on page 5 and 6 of the Deal Approval Form that you will be signing.

Prepare your documents for KYC

We utilise SumSub, a certified KYC provider to help process your documentation to verify your identity and pass AML checks. You can upload your documents via their portal, which is accessible by scanning the below QR code or by clicking this link:

If an investor is investing through an entity, all UBOs of the entity above 25% will need to provide the Following:

1. Passport / ID and Proof of address (utility bill, bank statement, mortgage statement, dated within 3 months)

The investor will also need to provide the following company documents:

1. Certificate of incorporation or equivalent

2. Latest annual account, (if available)

3. Recent Articles of Association or equivalent

4. Directors’ register (if not mentioned in the evidence of registration)

5. Directors’ register (if not mentioned in the evidence of registration)

6. Signed authorised signatory list (including signature specimen and powers)

7. Current shareholder register for the investor and each company in the structure

8. Signed UBO declaration with the explanation of the source of fund.
